1 · Who we are. BLKB2B.com ("the Platform") is a directory and business-to-business introduction service for Black-Owned businesses, operated by [TheCleanDon, Inc.] ("we", "us"). By using the Platform you agree to these terms.
2 · The directory. Listings come from public records, licensed data sources, and information submitted by businesses themselves. A listing is not our endorsement of any business. We work to keep information accurate, but we do not guarantee that any listing, count, category, or map location is complete, current, or error-free.
3 · Verification badges. Badges such as "Verified" describe a process — for example, a government certification found in a public registry, or documents a business submitted to us. A badge describes what was checked and when. It is not a warranty of quality, capacity, licensure, or performance.
4 · Accounts and claiming a listing. You may claim a listing only for a business you own or are authorized to represent. Claiming falsely, impersonating a business, or submitting false verification materials is prohibited, and we may remove claims, content, or accounts that violate this.
5 · Your content. Descriptions, past performance, logos, and other material you add remain yours. You grant us a non-exclusive license to display them on the Platform and in documents the Platform generates for you (such as your capability statement). You are responsible for the accuracy of what you publish.
6 · Acceptable use. You agree not to: scrape, harvest, or bulk-export the directory or its relationship data; probe, copy, or reverse-engineer the Platform's supply-chain mapping; misrepresent your identity or business; send unlawful, deceptive, or unsolicited bulk communications through Platform features; or interfere with the service's operation. We may rate-limit, suspend, or terminate access that violates this section.
7 · Introductions and transactions. The Platform introduces businesses to each other. We are not a party to any transaction, contract, payment, or dispute between users. Do your own diligence before you buy, sell, subcontract, or team.
8 · Referral program. Referral and affiliate features are governed by their posted terms at the time of use, including eligibility and payout rules [link affiliate terms].
9 · Disclaimers. The Platform is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement. Your use is at your own risk.
10 · Limitation of liability. To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or revenues, arising from your use of the Platform or dealings with other users. Our total liability for any claim is limited to [the greater of $100 or amounts you paid us in the prior 12 months — counsel to confirm].
11 · Indemnity. You will defend and hold us harmless from claims arising out of your content, your use of the Platform, or your violation of these terms.
12 · Our intellectual property. The Platform — including its software, design, marks, compiled directory, classification and relationship systems, and generated documents' formats — is protected by intellectual-property and trade-secret law. These terms grant you no rights in it except the limited right to use the service.
13 · Copyright complaints. Report claimed infringement to [designated agent email] with the material, its location, and your contact and ownership details. We respond consistent with applicable law.
14 · Privacy. Our [Privacy Policy — separate draft required] describes what we collect and how we use it, and is part of these terms.
15 · Termination. You may stop using the Platform at any time. We may suspend or end access for violations of these terms or to protect the service or its users.
